Item 8.01.  Other Events
 
On February 15, 2013, Vectren Corporation (“Vectren”) inadvertently filed its Annual Report on Form 10-K (“10-K”) with the Securities and Exchange Commission (“SEC”) using filer numbers for both Vectren and Vectren Utility Holdings, Inc. (the “Company”). This results in Vectren's 10-K incorrectly appearing as a filing of the Company. The Company anticipates correcting this situation by filing its own 10-K as an amendment with the SEC in the ordinary course.
