Item 2.02 Results of Operations and Financial Condition
On January 25, 2013, The First Bancshares, Inc. issued a press release announcing its preliminary results of operations for the quarter and year ended December 31, 2012. A copy of the press release is attached hereto and incorporated herein as Exhibit 99.1. In accordance with general instruction B.2 of Form 8-K, this information is being furnished and shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934.

On January 25, 2013, The First Bancshares, Inc. announced its declaration of a $0.0375 per share quarterly cash dividend. The public announcement was made by means of a news release, the text of which is set forth in Exhibit 99.1 hereto.
