Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
China Growth Equity Investment Ltd. (the “Company”) received a notice from The Nasdaq Capital Market (“Nasdaq”) on January 2, 2013 indicating that Nasdaq had concluded that the Company has not complied with Listing Rules 5620(a) and 5620(b), which require that the Company hold its annual meeting by December 31, 2012.
The letter serves as a formal notification that the Nasdaq Hearings Panel (the “Panel”) will consider this matter in rendering a determination regarding the Company’s continued listing on Nasdaq. Pursuant to Listing Rule 5810(d), the Company will present its views with respect to this additional deficiency at its Panel hearing. If the Company fails to address the aforementioned issue, the Panel will consider the record as presented at the hearing and will make its determination based on that information.
Accordingly, the Company intends to present its views with respect to this additional deficiency at its Panel hearing. However, there can be no assurance that the Panel will grant the Company's request for continued listing.
