Item 8.01 Other Events. On December 18, 2012, Stifel Financial Corp. (the Company or we) announced that it priced $150,000,000 aggregate principal amount of its 5.375% Senior Notes due December 2022 (Senior Notes). The Senior Notes will be issued pursuant to an effective shelf registration statement previously filed with the Securities and Exchange Commission on Form S-3. The offering is expected to close on or about Friday, December 21, 2012. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
