On December 6, 2012, Epoch Holding Corporation (Epoch) issued a press release announcing the execution of an Agreement and Plan of Merger (the Merger Agreement) by and among Epoch, The Toronto-Dominion Bank (TD) and Empire Merger Sub, Inc., a wholly owned subsidiary of TD (Merger Sub).
