On November 7, 2012, Luigi Ferrari, the Company’s President, Global Orthopedics Business Unit, notified the Company of his voluntary resignation of employment from the Company. Mr. Ferrari informed the Company he has accepted the position of Chief Executive Officer of Limacorporate S.p.a. in Udine, Italy. Mr. Ferrari’s resignation will be effective as of a date to be mutually agreed by Mr. Ferrari and the Company, at which time Robert S. Vaters, the Company’s President and Chief Executive Officer, will assume Mr. Ferrari’s operational responsibilities.
