Item 1.01. Entry into a Material Definitive Agreement

Effective September 15, 2012, the advisory agreement among Wells Mid-Horizon Value-Added Fund I, LLC and Wells Investment Management Company, LLC was renewed for a one-year term upon terms identical to those of the advisory agreement in effect through September 14, 2012. The advisory agreement was filed as Exhibit 10.1 to the Form 10-K filed March 22, 2011 and incorporated by reference herein.
