Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant. On May 3, 2012, we entered into a loan transaction in the aggregate amount of $12,000 to five persons (Brett Newbold, Leann Gilberg, Robert O. Grover, Anthony A. Maher and Todd Hackett) who were accredited investors as that term is defined in Rule 501 of Regulation D of the Securities and Exchange Commission (the SEC). The transaction involved the issuance of a total of five Promissory Notes, each of which is payable in cash on June 7, 2012. After 30 days from the signing of the Promissory Notes, each shall be convertible at the lenders discretion to purchase shares of our common stock comprised of restricted securities as defined in Rule 144 of the SEC, at the closing market price of our common stock on the day prior to the date the note is executed. Each Promissory Note bears interest at the rate of 5% annualized.
