Explanatory Note: The registrant is amending the Form 8-K previously filed on May 7, 2012 to furnish the same information pursuant to Item 2.02.
Item 2.02 Results of Operations and Financial Condition.
On May 3, 2012, Perfumania Holdings, Inc. (the “Company”) issued a press release announcing the sales for the month ended April 28, 2012 (fiscal April 2012) and first fiscal quarter ended April 28, 2012 for one of its wholly-owned subsidiaries, Perfumania, which operates specialty retail fragrance stores. A copy of this press release is attached hereto as Exhibit 99.1.
