Item 7.01 Regulation FD Disclosure
On March 2, 2012, the Registrant posted on its website and delivered its members at the 2012 Annual Meeting the CEO's 2011 Annual Report to Members. The letter is attached hereto as Exhibit 99.1.
This Report on Form 8-K is being furnished pursuant to Item 7.01 Regulation FD Disclosure. The information furnished, including exhibits, is not deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, is not subject to the liabilities of that section and is not deemed incorporated by reference in any filing under the Securities Act of 1933, as amended.
Item 8.01 Other Events.
On March 1, 2012, the Highwater Ethanol, LLC board of directors declared a cash distribution of $100.95 per membership unit to the holders of our units of record at the close of business on March 1, 2012, for a total distribution of $500,000. We expect to pay the distribution in March 2012.
