| Item 1.01 | Entry into a Material Definitive Agreement |
On January 2, 2012, Open Text Corporation (“the Company”) entered into a consulting agreement with Mr. John Shackleton for a period of six months ending June 30, 2012, for which the Company will engage Mr. Shackleton as an independent contractor to provide advisory services on an as requested basis.
