On August 2, 2011, HFF, Inc. (the “Company”) issued a press release announcing that it had filed a preliminary prospectus supplement with the Securities and Exchange Commission (SEC) for a proposed underwritten public offering by certain stockholders of the Company of 4,047,472 shares of the Company’s Class A common stock. All shares will be offered by existing stockholders who are also current transaction professionals of the Company, including the Company’s chief executive officer and three other inside directors. A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
