Item 8.01. Other Events.
On July 13, 2011, Allied World Assurance Company Holdings, AG (“Allied World”) issued a press
release announcing that it has established a record date of
July 22, 2011 for an extraordinary
general meeting of its shareholders to consider and vote on proposals related to the previously
announced agreement and plan of merger, dated as of June 12, 2011, by and among Allied World, GO
Sub, LLC and Transatlantic Holdings, Inc. Allied World also announced today the early
termination of the antitrust waiting period under the Hart-Scott-Rodino Act in connection with the
proposed merger. A copy of the press release is attached hereto as Exhibit 99.1 and is
incorporated by reference herein.
