Explanatory Note

     This Form 8-K/A is being filed in connection with the Form 8-K filed by Buckeye Partners, L.P. (the “Partnership”) on November 26, 2010 to file the audited financial statements of Buckeye GP Holdings, L.P. (“Holdings”) previously omitted therein.

ITEM 9.01. FINANCIAL STATEMENTS AND EXHIBITS.
