Article Abstract:
The 10th annual meeting of the American Corporate Counsel Ass'n was held from Oct 28-30, 1992 and made outreach to minorities and women a key near-term goal. The ABA's Minority Demonstration Counsel Program, which since 1988 has sought increased work for minority attorneys, received a renewed commitment. This commitment comes at a time when corporate participation in the ABA program has leveled off while the number of minority attorneys has multiplied.

Article Abstract:
The Securities Litigation Reform Act of 1995 repealed civil RICO actions and lawyers suing the Bennett Funding Group for the Ponzi scheme it allegedly perpetrated regret this repeal, saying they have exactly the case civil RICO actions were meant to cover. A similar case against Towers Financial Corp predated the repeal of the law, and three years later damages due the SEC and the bankruptcy trustee have not yet been paid.

An Oklahoma federal court ruling in Brotherhood of Teamsters General Fund v. Fleming Companies, Inc. was the first to rule that state law permits shareholders to force a vote on shareholder rights plan , having before backed directors in asserting their exclusive power to issue large blocks of stock at a discount to shareholders to fend off hostile takeover attempts. Adoption of shareholder empowerment bylaws are at issue.
