Rising levels of institutional investment in private companies have been accompanied by increased awareness of the need to consider environmental liability and due diligence. A company's access to new sources of capital may depend on its record of environmental compliance, while venture capitalists are exploring the potential of environmental liabilities to jeopardize their exit strategies. The object of environmental due diligence is to identify which issues may have a financial or legal liability, including health and safety considerations.

Environmental due diligence is playing an increasingly important part in the corporate acquisition process, if property, land or manufacturing is involved. Land that is contaminated has to be cleaned up by the current owner, who inherits any liabilities associated with it. The management buy-in of British Aluminium in early 1996 was heavily reliant on environmental due diligence investigations.
