The Mission Critical NetIQ merger is of two very similar companies that provide software for use of Windows NT and Windows 2000. Analysts are high on the merger; both companies shares have jumped since going public.

E.piphany Inc.'s $3.18 billion acquisition of Octane Software, pending shareholder approval, will give the newly-public company software for customers buying products on the Internet. Octane declined a recent public offering and decided to be gobbled to accelerate distribution of their customer-relations software. The new combination should have Siebel Systems looking over its shoulder.

Electronic Data Systems Corp. will purchase the remaining 14% of Unigraphics Solutions Inc. which it does not own for $170 million and will buy Structural Dynamics Research Corp. for $950 million. Under Chairman and CEO Richard H. Brown, it is the company's third major acquisition in as many months. The deals are expected to be completed in the third quarter and EDS warns investors that the company will take a charge in the fourth quarter and that the acquisitions will impact earnings for the fourth quarter and the year.
