The diligence with which directors are required to carryout their duties is discussed. The extents to which the directors can take financial risks are defined. The responsibility for financial risk and the transferability thereof is also discussed. The implications of failure of directors to manage the financial risks are also discussed. A list of questions on risk management which the shareholders must ask before investing in the company is presented.
